How are we classified?

The Siretskiy Organization is classified as a Holding Firm. The term holding company comes from the fact that the business has one job: to “hold” investments.

A holding company is a parent corporation, limited liability company or limited partnership that owns enough voting stock in another company to control its policies and management. A holding company exists for the sole purpose of controlling another company, which might also be a corporation, limited partnership or limited liability company, rather than for the purpose of producing its own goods or services.

Holding companies also exist for the purpose of owning property such as real estate, intellectual rights, equity in other subsidiaries, patentstrademarks, stocks and other assets. If a business is 100% owned by a holding company, it is called a wholly owned subsidiary. Do The Siretskiy Organization and its subsidiaries invest its own funds?

We fund 90% of all Projects and Investments with our funds. We have our skin in the game in most projects/investments.

Not always. We fund most projects/investments ourselves, but are always open to options. If you are an accredited investor who wants to discuss further on this matter, reach out to us, and we will invite you to our office for discussion. We are very selective, and all investments are case by case basis.

Why Accredited Investors?

An accredited investor is a person or entity that can deal with securities not registered with financial authorities by satisfying one of the requirements regarding income, net worth, asset size, governance status or professional experience

Accredited Investor Requirements

To be an accredited investor, a person must demonstrate an annual income of $200,000, or $300,000 for joint income, for the last two years with the expectation of earning the same or higher income. An individual must have earned income above the thresholds either alone or with a spouse over the last three years.

Example of an Accredited Investor

Consider an individual who earned $150,000 of individual income for the last three years and reported a primary residence value of $1 million with mortgage of $200,000, a car worth $100,000 with outstanding loan of $50,000, 401(k) account with $500,000 and a savings account with $450,000. The person’s net worth is exactly $1 million, which is calculated as his assets of $1,050,000 ($100,000 plus $500,000 plus $450,000) minus a car loan of $50,000. Source: Investopedia. What is a contingency?

A contingency clause defines a condition or action that must be met for a real estate contract to become binding. A contingency becomes part of a binding sales contract when both parties (i.e., the seller and the buyer) agree to the terms and sign the contract. Accordingly, it is important to understand what you’re getting into if a contingency clause is included in your real estate contract.

What is the difference between being Pre-Qualified & Pre-Approved for a loan?

On many occasions, buyers and many agents have no idea of the difference. Therefore, if you are Pre-Qualified, it means that you maybe are qualified to get a loan, assuming that all of the information you provide to the Bank/Mortgage professional is accurate and complete.

A Pre-Qualification means that your documents have been looked at and based on the information submitted, the Bank/Mortgage Professional believes you are qualified. Does NOT mean that you 100% are, just an opinion. Unfortunately, that is not good enough. This circumstance created liability and uncertainty. If one opens escrow and does not fund, many consequences are possible.

The goal is to get Pre-Approved! This means that you have undergone the extensive financial background check, which includes your credit history, previous/current tax returns, verifying your employment, etc. If the Lender states that you are Pre-Approved, that means you are approved, and ready to write offers (this is the stage you want to achieve asap).

Once you have been pre-approved, the lender will typically issue a document, stating for how much you have been pre-approved for, and upon what preliminary terms.

We strongly suggest to use a mortgage broker, as they work with many banks, rather than obtaining a quote from one. Reach out to our team for recommendations of various top lending options. It would be our pleasure to guide you through this process, and provide more detail.

What are closing costs?

When a home is sold, the buyer and seller incur various closing costs in addition to the sale price. Typically, closing costs for a seller consist of but not limited to excise taxes, transfer taxes, title insurance, real estate commissions, escrow fees, etc. Buyers pay a variety of fees such as mortgage origination charges, title insurance, escrow, home insurance and property taxes, etc.

In Real Estate though, buyers and sellers have the option to negotiate which party pays for various closing costs. Buyers who are obtaining a mortgage will receive an estimate of their closing costs from their lender called the Good Faith Estimate. Sellers can receive an estimate of their closing costs from their real estate agent, called a net proceeds estimate.

What is a net proceeds estimate?

Net proceeds is the amount received by the seller after all costs and expenses are deducted from the gross proceeds arising from the sale of an asset. Capital gains taxes are generally paid only on the net proceeds of a sale, instead of the gross proceeds.

Property Tax.

Property tax is a levy on Real Estate. The owner is obligated to pay for this matter, typically annually or semi-annually (sometimes it is calculated in monthly payments).

Property tax is commonly collected by a county tax assessor, but the proceeds may be divided between state, county and city governments.

Property taxes are determined by the tax-assessed value of a home. Each neighborhood has their own timelines and procedures for how the tax-assessed value is determined.

The power of 1031 exchange in Real Estate.

Taxes rarely make for exciting reading material, but if you own an investment property, there’s at least one set of IRS regulations you absolutely will want to understand: 1031 exchange rules. Why? Because normally when you sell an investment property for more than what you paid for it, you’d have to pay a hefty capital gains tax.

When investors and/or businesses structure their asset sale and replacement purchases as 1031 Tax-Deferred Exchanges, they are able to defer paying capital gains and recapture taxes. The 1031 Exchange is a powerful tool that encourages people and entities to re-invest their profits into newer, more productive property, stimulating business and economic growth.
